Job Description

As we scale, we're seeking a talented and commercially minded Head of UK Legal & Company Secretary to lead our UK legal function and support our continued growth, governance, and compliance initiatives.


As our Head of UK Legal & Company Secretary, you'll be the go-to legal advisor for the UK business and play a key role in ensuring corporate governance across our listed entity. You'll collaborate closely with our US legal team and other stakeholders globally to provide strategic legal guidance on a broad range of matters, including commercial contracts, regulatory compliance, corporate governance, employment law, and data protection.


This is a high-impact, hands-on role for someone who thrives in a fast-paced, tech-focused environment and is excited to take ownership of legal matters across the UK business.



We are ideally seeking someone based in London to stay closely connected with our shareholders, banking partners, and senior colleagues. However, we remain open to candidates located near our Birmingham head office who are comfortable with regular travel to London. Given our global trajectory, occasional international travel may also be required as part of this role.

Requirements



Legal (UK)



Provide legal advice on a broad range of commercial, corporate, and employment matters. Draft, review, and negotiate key commercial contracts (SaaS agreements, licensing, partnerships, NDAs, etc.). Support UK operations on data protection and privacy compliance (incl. UK GDPR). Advise on risk management and regulatory compliance issues. Manage disputes and liaise with external counsel as necessary. Collaborate with the US legal team on cross-border legal and compliance matters.



Company Secretarial



Act as Company Secretary for the UK listed entity. Support the Board and its Committees, ensuring compliance with UK corporate governance requirements and disclosure obligations. Draft board materials, maintain statutory registers, and coordinate filings with Companies House and the London Stock Exchange. Organise and attend Board and Committee meetings, and ensure accurate minute-taking and record-keeping.



Governance & Compliance



Monitor and interpret changes in relevant laws and regulations. Maintain and develop internal policies, procedures, and training for legal and compliance matters.

Skills & experience



Qualified solicitor in England & Wales with at least 2 years PQE. Strong generalist legal background, ideally with experience working with listed UK companies. Understanding of UK corporate governance and company secretarial responsibilities for a public company. Experience drafting and negotiating commercial agreements. Excellent interpersonal and stakeholder management skills, able to work confidently with senior leadership. Comfortable working autonomously in a fast-moving environment. Experience working cross-border or in collaboration with overseas legal teams is a plus.
