Role Mission:



The Head of Legal, Corporate at Cube will collaborate with the CEO and CFO to oversee all legal matters within the company, with a particular focus on corporate finance, global company secretarial compliance and mergers and acquisitions (M&A). This role requires strong leadership skills, extensive legal knowledge, and the ability to navigate complex financial transactions while mitigating legal risks.


Key Responsibilities:



Provide legal advice and guidance to the company's management team on a wide range of corporate finance and M&A matters. Develop and implement legal strategies, policies, and procedures to ensure compliance with applicable financial laws and regulations across our global company structure. Review and negotiate contracts, agreements, and other legal documents related to mergers and acquisitions, financing, and other corporate transactions. Lead the legal aspects of establishment and ongoing corporate governance of overseas subsidiaries and operations Lead the legal aspects of M&A transactions, including initial negotiations, due diligence, deal structuring, and finalization of the transaction Conduct thorough due diligence to identify potential risks, liabilities, and legal issues that could impact the transaction. Collaborate with other departments, such as Finance and Compliance, to ensure legal compliance in areas such as securities law, tax compliance, and financial reporting. Advise on intellectual property matters, including trademarks, copyrights, and patents. Monitor and assess legal risks associated with the company's financial operations and provide proactive solutions to mitigate those risks. Oversee the company's corporate governance and ensure compliance with corporate and financial laws and regulations. Stay informed about industry-specific legal issues and trends and provide guidance to the company on potential impacts. Work with and manage relationships with external legal counsel and accounting firms as needed.

What we're looking for:



Juris Doctor (JD) degree from an accredited law school. Bar membership in good standing. Minimum of 4+ years of legal experience, with extensive expertise in corporate finance law, M&A, compliance, and governance. Experience working within a fast growing, Private Equity backed business with global operations Strong leadership, strategic thinking, and excellent communication skills. Experience managing a legal team and familiarity with corporate governance. Ability to navigate complex financial environments and provide practical legal solutions.
