The Deputy Director of Corporate Affairs supports the Director of Corporate Affairs (also Trust Secretary) ensuring the smooth running of the Trust\'s formal governance arrangements at Board and Committee level, and with the Council of Governors. The role is to ensure that the business of the Trust Board is conducted smoothly and efficiently and to be the adviser to the Board on procedural matters, securing the Trust\xe2\x80\x99s compliance with all statutory and legal requirements.

This role is the first point of contact for Governors, Non-executive Directors and Executive Directors, championing high standards of governance and promoting best practice.

This is a role with a significant amount of engagement and interaction with members of the Board, Council of Governors, senior managers, system partners and directorates across the organisation.

The Corporate Affairs Directorate reports to the Chief Executive and has responsibility for the development and delivery of exceptional corporate governance, reflecting the strategic intent and direction of the Trust. Our small team has the privilege of working with colleagues across the Trust, and with people who use our services and their carers.

  • Support the development of effective system-wide corporate governance across the Trust and its partner organisations
  • Lead and develop a team, ensuring a comprehensive and efficient service is provided to Non-Executive Directors, Executive Directors, Governors and senior managers.
  • Advise on complex governance issues, interpreting issues of policy, legislation and governance and recommending appropriate courses of action to the Chair and the Board.
  • Delivery of annual reviews of governance compliance and Board effectiveness
  • Preparation of key reports to Audit Committee, Council of Governors and Board
  • Keeping track of updates to corporate governance guidance and best practice, implementing change.
  • Maintenance of the Trust\xe2\x80\x99s Constitution and other governance documentation
  • Maintaining a digital repository of organisational memory
  • Deliver coherence across the Trust\xe2\x80\x99s Committees, ensuring that the right issues are addressed at the same time by the Committees and providing leadership to an effective secretariat.
  • Attend all Board meetings and Board development sessions to take minutes and follow up on actions.
  • Oversee and manage the Council of Governors\xe2\x80\x99 workplans, setting agendas and supporting working groups
  • Lead the Trust\xe2\x80\x99s Membership Strategy and Governor elections
  • Coordinate the preparation and publication of the Annual Report and Accounts
  • Oversight of compliance with the Fit and Proper Persons regulations, Declarations of Interest Policy and Gifts and Hospitality Policy
  • Budget management
  • Line management of four direct reports.
