Ashurst has a leading restructuring practice, across key jurisdictions in Europe, Asia and Australia The Restructuring and Special Situations Group acts for senior lenders, distressed investors, debtors and insolvency practitioners in all aspects of corporate insolvency and restructuring. The RSSG team is largely non-contentious, working closely with the disputes team when more litigious matters arise . We offer a full service, both on the debtor and creditor sides of high-value restructurings. Having played a key advisory role in many major domestic and cross-border business turnarounds and corporate collapses of the past few decades, we are at the forefront of the latest structures, techniques, terms and processes to aim to find commercial solutions for difficult credit problems. Our lawyers advise on the full spectrum of issues that arise in these situations, including directors\' duties, secondary debt trading, loan-to-own strategy, non-performing loan portfolios, restructuring plans, schemes of arrangement, company voluntary arrangements, administration pre-packs and contentious enforcement scenarios.

Job overview

We are currently looking for a mid-senior level Associate to join our restructuring and special situations group (RSSG)in the London office. The successful candidates would work on the following sorts of matters:

  • reviewing security, bond and loan documents with a view to advising parties on their rights following default
  • advising on restructuring plans, schemes of arrangement and related issues
  • appointment of administrators, both by directors and by a QFCH
  • pre-packaged administration sales of shares or businesses
  • company voluntary arrangements
  • advice to directors on their duties
  • coordinating advice from foreign law firms in relation to cross-border restructurings or insolvencies
  • loan to own strategies by distressed investors
  • supervising more junior members of the team
Essential skills and experience
  • Qualified lawyer with post-qualification experience at a major law firm
  • Experience at a law firm recognised for its restructuring practice in some or all of the above areas of work.
  • Experience of drafting, reviewing and negotiating legal documents and agreements in a private practice environment
  • An adaptable individual who is a fast learner, with experience dealing with multiple jurisdictions.
  • A team-player who can work effectively with colleagues at all levels
  • Client facing experience and the ability to understand and respond effectively to client needs
  • Experience of negotiating with counterparts.

Partner Profiles

Olga Galazoula - Global Practice Head, Restructuring & Special Situations
Olga is a partner in our restructuring and special situations practice, based in London. She specialises in balance sheet and operational restructurings, formal insolvencies and distressed investments, often with a cross-border element. She has worked on several complex multi-stakeholder restructurings the UK, US, Middle East and Continental Europe, for stakeholders across the capital structure. In addition, she has developed particular expertise in advising on distressed investments, restructurings and NPL acquisitions in Southeast Europe. Olga is an English qualified solicitor and a member of the Athens Bar (not practicing) and regularly lectures on English insolvency law topics. She also co-chairs the firm\'s private capital industry initiative. Olga\'s client base extends to banks, alternative investment funds, insolvency officeholders and international corporates.

Ru-Woei Foong - Partner, Restructuring & Special Situations
Ru-Woei specialises in complex UK and cross-border restructuring and insolvency matters. She regularly acts for a wide range of stakeholders in distressed situations, including financial institutions, bondholders, corporates, directors and insolvency practitioners, and over the past decade has developed a particular focus on providing strategic advice to alternative investment funds in connection with distressed investing and bespoke lending opportunities.

Drew Sainsbury - Partner, Restructuring & Special Situations
Drew has wide experience in distressed situations involving corporate restructuring, insolvency, special situations, and the recovery and resolution of banks and other regulated financial institutions, both domestically and across borders. Drew is a qualified solicitor and solicitor advocate.

Richard Bulmore - Partner, Restructuring & Special Situations
Richard advises on distressed corporate situations, complex restructurings and insolvencies across all sectors and often involving cross-border elements. He advises the full range of stakeholders, including borrowers and their directors, banks and funds, insolvency practitioners, government bodies and regulators.
